You hereby irrevocably to submit to the personal and exclusive jurisdiction of the courts located within New York County in the State of New York. GavelTown's failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. If any term or other provision of these Terms of Usage is invalid, illegal or incapable of being enforced by any law or public policy, all other terms and provisions of these Terms of Usage shall nevertheless remain in full force and effect so long as the economic or legal substance of the transactions contemplated hereby is not affected in any manner materially adverse to any party.
